These Terms of Service ("Terms") are a legal agreement between AeroArt ("AeroArt", "Provider", "we", "our", or "us") and the person or legal entity accessing or subscribing to Ray ("Client", "you", or "your").
By purchasing, installing, activating, accessing, or using Ray, you agree to these Terms.
1) Provider identity and contact
- Provider name: AeroArt
- Company name for contracts and invoices: AeroArt
- Support email: 1angelgeorgiev@gmail.com
- Business jurisdiction: Bulgaria
- Support response target: within 2 business days
- Support hours: 10:00 AM - 7:00 PM Eastern European Time (EET/EEST)
2) What Ray is
Ray is a Windows desktop software product for processing half-cell concrete slab measurement datasets and generating engineering outputs, including DAT, GRD, SRF, PNG, and PDF deliverables.
Ray integrates with Surfer from Golden Software, through Surfer automation interfaces.
3) Third-party dependency (Surfer)
Ray requires a valid Surfer license/subscription from Golden Software for Surfer-dependent features.
AeroArt does not sell, bundle, sublicense, modify, or control Surfer. We are not responsible for Surfer availability, licensing terms, outages, product changes, or support decisions made by Golden Software.
4) License grant and allowed use
Subject to these Terms and payment of applicable fees, AeroArt grants you a limited, non-exclusive, non-transferable, revocable subscription license to use Ray on up to two (2) authorised computers within a single branch or location of the licensed entity.
For the purposes of this Agreement, an "authorised computer" means a physical workstation or dedicated machine used by the Client. Installation on additional computers, servers, virtual machines, or remote desktop environments requires prior written approval from the Provider and may require additional subscription fees.
The licence is granted per entity and covers internal business use only within one branch or location of that entity.
For these terms, "entity" means the company, organisation, or legal person named in the subscription. Additional branches or locations require separate subscriptions.
The Client may request additional authorised computers in writing. Additional seats become valid only upon written confirmation from the Provider and payment of any applicable fees.
The number of permitted devices/seats is limited to the quantity purchased in your checkout, quote, or order record.
You may not:
- reverse engineer, decompile, or disassemble Ray, except where non-waivable law allows it;
- copy, resell, sublicense, rent, lease, distribute, or commercially host Ray for third parties;
- bypass, disable, or interfere with licensing, activation, or seat controls;
- use Ray in violation of applicable law.
All intellectual property rights in Ray remain with AeroArt. This is a subscription licence agreement only; no title or ownership in Ray is transferred.
5) Subscription, billing, and renewal
5.1 Paid Subscription
Ray is sold on a recurring monthly subscription basis. For web checkout purchases, payments and tax/VAT handling are processed by the payment processor used by the checkout channel (Stripe or Paddle).
5.2 Auto-Renewal
Your subscription renews automatically each month unless canceled with one (1) month written notice.
5.3 Grace Period
If payment fails, the Client receives a 7-day grace period during which core features remain available. Once the grace period ends, the licence expires and Ray will become inaccessible until payment is resumed.
5.4 Cancellation
To cancel, send your written cancellation request to 1angelgeorgiev@gmail.com.
One (1) month written notice is required. If the next renewal date falls within the notice period, that renewal remains payable and cancellation takes effect at the end of the following full billing cycle.
Cancellation does not automatically create a refund for already-billed periods, except as required by law or as set out in our Refund Policy.
6) Licensing modes and activation
Depending on deployment configuration and onboarding, Ray may operate in one of the following licensing modes:
- Online seat activation mode: activation and periodic check-in against a licensing service, with offline fallback workflows for restricted environments.
- Legacy local license mode: machine-bound local license validation.
Offline activation is a fallback workflow only. Any offline response code is capped to the paid subscription entitlement term communicated in your purchase flow, order documents, or onboarding materials.
7) Availability and suspension
We may suspend or restrict access to licensing services or subscription entitlements if:
- required payments are overdue beyond any applicable grace period;
- we reasonably suspect fraud, abuse, or material breach of these Terms;
- required third-party dependencies are unavailable;
- required for security, legal, or compliance reasons.
Where reasonably possible, we will provide notice and an opportunity to cure.
8) Updates and changes
We may provide patches, fixes, improvements, and updates. Some updates may be required to maintain compatibility, security, licensing, or service continuity.
9) Data and privacy
Ray primarily processes project data locally on your machine. Licensing and billing-related data may be processed by AeroArt, Stripe, Paddle, Keygen, and related infrastructure providers as described in the Ray Privacy Policy.
The Client is responsible for lawful collection and use of any project data you input into Ray.
10) Warranty Disclaimer
The Software is provided "AS IS" without warranties of any kind.
The Provider does not guarantee that the Software will be error-free, uninterrupted, or fit for any particular purpose. The Client is responsible for verifying the accuracy of input data and outputs before use.
11) Limitation of Liability
To the maximum extent permitted by law, the Provider shall not be liable for:
- loss of data;
- business interruption;
- indirect or consequential damages;
- financial loss.
The Client assumes all risk arising from the use of the Software.
12) Governing Law
This Agreement is governed by the laws of Bulgaria.
13) Dispute Resolution
The parties agree to attempt informal negotiation first in the event of a dispute.
If negotiation fails, any disputes shall be subject to the exclusive jurisdiction of the courts of Bulgaria.
